You acknowledge and agree that, in the event of a breach or threatened breach of our intellectual property rights and confidential and proprietary information, we will suffer irreparable harm and therefore we will be entitled to injunctive relief to enforce this Agreement. We may, without waiving any other remedy under this Agreement, apply to any court having jurisdiction for any interim, equitable, provisional or conservatory relief that may be necessary to protect our rights and property pending the outcome of the arbitration referred to above. You hereby irrevocably and unconditionally consent to the personal and subject matter jurisdiction of the federal and state courts in the State of New York, Borough of Manhattan for the purposes of any action by us.

The parties agree that the applicable and usable law under which this agreement shall be governed shall be the law of the United Kingdom. Thereafter, the law of the United Kingdom shall govern all disputes or litigation arising out of the content of this agreement or its performance accordingly.
